Automation Deployment & Handover Agreement

This Automation Deployment & Handover Agreement (“Agreement”) is entered into by and between Conchords Entertainment Studio and Productions (“Conchords,” “we,” “us,” or “our”) and the client engaging automation-related services (“Client,” “you,” or “your”).

This Agreement supplements the Independent Contractor Services Agreement and governs the deployment, delivery, and handover of automation systems.

1. Purpose of Agreement

This Agreement defines:

  • The nature of automation deployment services

  • Ownership and control of systems and accounts

  • The point of handover and conclusion of Conchords’ responsibility

  • Limitations of liability related to automation usage

2. Deployment Model

Conchords provides automation services under a deployment and handover model, not a hosted or managed service.

Specifically:

  • Automations are deployed into Client-owned accounts and tools

  • Client retains ownership and control of all systems, data, credentials, and subscriptions

  • Conchords does not host, operate, or manage automation systems after handover

3. Client-Owned Tools and Accounts

The Client acknowledges and agrees that:

  • All third-party platforms, software, APIs, and subscriptions are owned and controlled by the Client

  • The Client is responsible for account setup, billing, security, and compliance

  • Conchords is not responsible for outages, pricing changes, policy updates, or platform discontinuation

4. Handover and Completion

Handover occurs when:

  • Automation workflows are delivered, demonstrated, or documented

  • Access credentials are returned to the Client (if temporarily provided)

  • Any agreed documentation or walkthrough is completed

Upon handover:

  • Services are deemed complete

  • Conchords’ responsibility for system operation ends

5. No Ongoing Monitoring or Maintenance

Unless expressly agreed in writing, Conchords does not provide:

  • Ongoing monitoring

  • Maintenance or troubleshooting

  • Performance optimization

  • Platform updates or modifications

Any post-handover support requires a separate written agreement.

6. No Guarantees of Performance

Conchords does not guarantee:

  • Continuous operation of automation systems

  • Accuracy or completeness of automated outputs

  • Business outcomes, revenue, savings, or compliance

Automations rely on third-party platforms and Client inputs, which may change over time.

7. Client Responsibility and Risk Assumption

The Client acknowledges that:

  • Automations act based on rules, triggers, and inputs defined at deployment

  • Improper configuration, misuse, or failure to monitor systems may result in errors or unintended outcomes

  • The Client assumes all risks associated with continued use of the automation systems

8. Limitation of Liability

To the fullest extent permitted by law, Conchords shall not be liable for:

  • Business interruption, lost profits, or operational failures

  • Data loss, misfires, or unintended automation actions

  • Third-party platform failures or changes

Total liability shall not exceed the amount paid for the specific automation deployment services.

9. Indemnification

The Client agrees to indemnify and hold harmless Conchords from any claims, damages, or liabilities arising from:

  • Client’s use or misuse of automation systems

  • Client’s failure to comply with laws or platform policies

  • Actions taken by automated systems after handover

10. Termination

This Agreement terminates automatically upon completion of handover, unless otherwise stated in writing.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which Conchords operates, without regard to conflict-of-law principles.

12. Acceptance

By accepting delivery of automation systems or continuing use after handover, the Client confirms acceptance of this Agreement.
